Terms and Conditions

These Terms and Conditions (hereinafter referred to as “Terms”) govern the relationship between Garu Group (hereinafter “Company,” “we,” “our,” or “us”) and you (hereinafter “you” or “User”) when accessing and using the website https://garugroup.am/ (hereinafter “Site”) and all related services, including mobile applications, client software, and other software solutions. By using the Site or any portion thereof, you agree to these Terms in full. If you do not agree with any provision of these Terms, please immediately stop using the Site and related services.


1. Definitions

1.1. Site — the web resource at https://garugroup.am/ and all its sections, pages, interfaces, databases, APIs, as well as any mobile applications and other digital products distributed under the Garu Group brand.
1.2. User — any individual or legal entity that visits or uses the Site, its sections, and services.
1.3. Content — all text, images, graphics, videos, audio, program code, design, logos, trademarks, and other materials posted on the Site.
1.4. Account — a user account on the Site created upon registration using a login and password.
1.5. Andromeda Corporation (JSC “Andromeda Cloud, Inc.”) — the official provider of cybersecurity systems for the Site and Garu Group software, operating at: 2/3 Sargis Sevanetsi Str., Sevan City, Gegharkunik, Armenia, ZIP 1505.
1.6. Web Systems of Andromeda Corporation (WSOAC.COM) — the provider of the main systems (Back-end/Front-end) for the Site, management service systems, as well as desktop and mobile applications for Garu Group.


2. General Provisions

2.1. These Terms govern access to the Site, methods and conditions of use, as well as the rights and obligations of the User and the Company.
2.2. The Company reserves the right, at its sole discretion and without prior notice, to modify or supplement these Terms at any time. The revised version becomes effective immediately upon publication on the Site. Continued use of the Site after such changes constitutes acceptance of the updated Terms.
2.3. All rights to the program code, design, structure, content, and any other components of the Site belong to Andromeda Corporation. The Company Garu Group has no right to demand transfer of source code or user data under any circumstances.
2.4. Any reproduction, copying, distribution, or other unauthorized use of the Content is strictly prohibited and may result in liability under applicable law.


3. Registration and Account

3.1. Certain features and sections of the Site are accessible only to registered Users. To create an Account, you must provide a valid email address, choose a login, and create a password.
3.2. Your login and password are confidential and must not be disclosed to third parties. In the event of loss or unauthorized access to your Account, you must immediately notify Garu Group’s support team.
3.3. The Company reserves the right to suspend or delete a User’s Account if it detects any violation of these Terms, suspected fraud, spam, unauthorized access, or other illegal activities.


4. Rights and Obligations of the Parties

4.1. Rights and Obligations of the Company

4.1.1. The Company shall:

  • Ensure stable operation of the Site and provide access to its services in accordance with these Terms.

  • Comply with applicable data protection laws (GDPR, CCPA, RA “Law on Personal Data,” etc.).

  • Provide up-to-date information about services, prices, and conditions of use.

  • Promptly respond to User inquiries and requests.

4.1.2. The Company may:

  • Restrict or suspend a User’s access to any part of the Site if the User violates these Terms or if the Site’s servers or cybersecurity network are under excessive load.

  • Make changes to the structure, design, and functionality of the Site without prior notice.

  • Suspend the Site for maintenance or updates.

  • Utilize third-party providers (technical contractors, hosting providers, cybersecurity providers, etc.) to ensure the Site’s operation.

4.2. Rights and Obligations of the User

4.2.1. The User shall:

  • Provide accurate information during registration and promptly update it if it changes.

  • Comply with all applicable laws and these Terms.

  • Not share login/password credentials with any third party.

  • Refrain from actions that could compromise the integrity, security, or functionality of the Site and/or the Company’s services.

  • Promptly report any vulnerabilities, malfunctions, or other issues in the Site’s operation.

4.2.2. The User may:

  • Use all publicly available features of the Site within the scope of granted rights.

  • Subscribe to newsletters, participate in promotions, and contests organized by the Company (if available).

  • Request deletion of their personal data, as described in Section 8 (“Privacy & Personal Data”).

  • Contact support regarding Site functionality and data protection.


5. Liability of the Parties

5.1. The Company shall not be liable for:

  • Temporary interruptions in the Site’s operation due to maintenance, updates, hosting provider outages, or DDoS attacks.

  • Losses incurred by Users as a result of unlawful third-party actions (including hacking).

  • Damages arising from a User’s improper use of materials or services obtained on the Site.

5.2. The User shall be fully responsible for:

  • Safeguarding their account credentials and ensuring their confidentiality.

  • The legality of any content they upload or publish.

  • Compliance with copyright and other third-party rights when using materials obtained on the Site.


6. Restrictions on Use of Content

6.1. All Content on the Site (including text, graphics, logos, icons, images, audio and video materials, program code, and design) is owned by Andromeda Corporation or other rights holders who have licensed their content to the Company.
6.2. Copying, reproducing, distributing, publishing, broadcasting, adapting, or otherwise using any Content without the express written consent of the rights holder is prohibited.
6.3. If a User wishes to obtain permission to use any Content, they must submit an official request to: [email protected].


7. Software Licenses and Services

7.1. Cybersecurity Systems — provided by Andromeda Corporation (Andromeda Cloud, Inc.) under a separate End User License Agreement (EULA), according to which:

  • Garu Group is entitled to use the security solutions (including antivirus modules, firewalls, intrusion detection systems) supplied by Andromeda, provided all EULA requirements are met.

  • All expenses for cybersecurity servers are fully covered by Andromeda Corporation; Garu Group pays only for its core servers (50% discount off market rates).

  • Garu Group must display an “Protected by Andromeda” banner or logo in the Site footer and in the application (mobile/desktop) without the right to remove or modify it.

  • Unauthorized copying, decompilation, reverse engineering, distribution, or modification of Andromeda’s software is strictly prohibited.

7.2. Core Systems (Back-end/Front-end) — provided by Web Systems of Andromeda Corporation (WSOAC.COM). Under the agreement:

  • All source code, databases, scripts, APIs, and other components remain the property of Andromeda Corporation.

  • Garu Group receives a non-exclusive, sublicensable license to use the platform for managing the online store, client software, and web dashboards.

  • Garu Group covers expenses for core servers (Back-end, databases, Front-end), while Andromeda Corporation provides a 50% discount on hosting and development costs.

  • Any request by Garu Group to transfer source code, user data, or migrate the project to another provider is a breach of contract and will not be fulfilled.


8. Privacy & Personal Data (Privacy Policy)

8.1. Collection and Use of Personal Data

8.1.1. When registering, placing an order, or subscribing to newsletters, we collect the following data:

  • Full Name.

  • Email address.

  • Phone number.

  • Postal address (if applicable for product delivery).

  • IP address, device type, operating system, browser (when visiting the Site).

  • Cookies and session data (see Section 9 “Cookie Policy”).

8.1.2. Purposes of data processing:

  • User identification and Account management.

  • Interaction with the User for order processing, feedback, and technical support.

  • Sending informational and marketing communications (only with consent).

  • Analyzing and improving service quality (using Google Analytics, Yandex.Metrica, and other services).

  • Fulfilling contractual obligations (delivery, invoicing, accounting).

8.2. Legal Grounds for Processing

8.2.1. We process personal data based on:

  • User consent (for newsletters, marketing).

  • Performance of a contract (order processing, service delivery).

  • Legitimate interests of the Company (service improvement, analytics).

  • Legal obligations (compliance with government, tax, and regulatory requirements).

8.3. Data Storage and Protection

8.3.1. All data are stored on servers protected by firewalls, antivirus modules, and intrusion detection systems provided by Andromeda Corporation.
8.3.2. Access to personal data is restricted to authorized personnel and contractors (technical support, accounting, legal).
8.3.3. We implement technical and organizational measures to prevent unauthorized access, loss, alteration, or disclosure of personal data.
8.3.4. Data retention periods:

  • Order- and delivery-related data are stored for at least 3 years (tax and accounting requirements).

  • Newsletter subscription data are retained until the User withdraws consent.

8.4. Sharing Data with Third Parties

8.4.1. We may share personal data with the following categories of third parties:

  • Courier and logistics providers (for product delivery).

  • Payment systems and banks (for payment processing).

  • Email service providers (for newsletters).

  • Hosting providers and technical contractors (cloud storage, database servers).

8.4.2. All contractors are required to adhere to confidentiality and data protection standards in compliance with GDPR, CCPA, and other applicable regulations.
8.4.3. Transfer of data outside Armenia (e.g., to the European Union or the United States) is conducted under Data Processing Agreements or Standard Contractual Clauses, ensuring compliance with data protection laws.

8.5. User Rights

8.5.1. You have the right to:

  • Request access to your personal data and receive a copy.

  • Request correction of inaccurate data.

  • Request deletion of personal data (“right to be forgotten”) where permitted by law.

  • Restrict or object to processing of data (if processing relies on legitimate interests).

  • Receive your data in a machine-readable format (data portability).

  • Withdraw consent for data processing where processing is based on consent.

9. Cookie Policy

9.1. What Are Cookies?

9.1.1. “Cookies” are small text files that a website stores on your device (computer, smartphone, tablet) to collect technical information and analyze user behavior.

9.2. Types of Cookies We Use

9.2.1. Strictly Necessary Cookies (Essential Cookies):

  • Enable basic Site functions (authentication, security, load balancing).

  • Without them, the Site cannot function properly.

9.2.2. Functional Cookies (Functional Cookies):

9.3. Managing Cookies

9.3.1. On the first visit, Users see a banner informing them about Cookies and can give consent to the use of specific categories.
9.3.2. Users can disable or delete Cookies in their browser settings (see documentation for Chrome, Firefox, Safari, Edge, etc.).
9.3.3. Disabling Cookies may affect Site functionality (some services or personalization may become unavailable).
9.3.4. The complete list of Cookies used on the Site and their descriptions is provided in the appendix to this section (updated as new solutions and services are added).


10. Disclaimer

10.1. General Provisions

10.1.1. All information on the Site is provided “As Is” and “As Available.”
10.1.2. Garu Group makes no express or implied warranties, including warranties of merchantability, non-infringement, or fitness for a particular purpose.
10.1.3. The Company does not guarantee uninterrupted Site operation, absence of errors, viruses, or other malicious components.

10.2. Content Liability

10.2.1. The Company is not responsible for the accuracy, completeness, or currency of information posted on the Site.
10.2.2. Links to external websites are provided for User convenience only. Garu Group does not control the content of these external resources and is not responsible for any information posted on third-party sites.
10.2.3. Use of Site materials is at the User’s own risk.

10.3. Limitation of Liability

10.3.1. In all cases, the Company’s total liability to the User under applicable law shall not exceed the amount actually received by the Company from the User in the 12 months preceding the claim.
10.3.2. The Company shall not be liable for any indirect, incidental, punitive, or consequential damages (including, but not limited to, lost profits, data loss, or service downtime).


11. Cybersecurity System Provider Terms (Andromeda Corporation)

11.1. Parties and Subject of the Agreement

11.1.1. Provider: Andromeda Cloud, Inc. (Andromeda Corporation), registered address: 2/3 Sargis Sevanetsi Str., Sevan City, Gegharkunik, Armenia, ZIP 1505, e-mail: [email protected].
11.1.2. Customer: Garu Group.
11.1.3. Subject: Provision of cybersecurity solutions and services, including:

  • Endpoint antivirus protection.

  • Firewalls (network firewalls) and VPN.

  • Intrusion Detection and Prevention Systems (IDS/IPS).

  • SIEM solutions for security event monitoring and analysis.

  • Patch management and vulnerability management.

  • Employee training and security audits as needed.

11.2. Payment Terms

11.2.1. Garu Group pays only for core server expenses where Garu Group software is hosted (Back-end, Front-end, databases) at a 50% discount off market rates.
11.2.2. All expenses for cybersecurity servers and services are fully covered by Andromeda Corporation; Garu Group bears no additional cybersecurity costs.
11.2.3. If resource usage (traffic volume, compute power, storage) exceeds the limits specified in the agreement, the parties shall negotiate additional payment terms.

11.3. Provider’s Obligations

11.3.1. Provide 24/7 monitoring and support for cybersecurity systems.
11.3.2. Update antivirus signature databases, firewall rules, and IDS/IPS configurations in real time.
11.3.3. Conduct regular security audits (at least once annually) and provide audit reports.
11.3.4. Immediately notify Garu Group of any security incidents and take measures to neutralize them.
11.3.5. Ensure that deployed solutions comply with international standards (ISO 27001, CIS Controls, NIST, etc.).

11.4. Customer’s Obligations

11.4.1. Provide Andromeda specialists with access to servers and systems (RDP, SSH, control panels) necessary for deploying, configuring, and supporting the software.
11.4.2. Display the “Protected by Andromeda” logo and text in the footer of the Site and applications (mandatory).
11.4.3. Refrain from any actions that could impede the proper operation of security systems (e.g., disabling antivirus daemons, modifying firewall configurations).
11.4.4. Promptly inform the Provider of any changes to infrastructure (e.g., adding new servers, changing network topology).

11.5. Licensing Restrictions & Intellectual Property

11.5.1. All rights to cybersecurity software, documentation, algorithms, and other components used by Andromeda Corporation belong exclusively to Andromeda and are protected by intellectual property law.
11.5.2. Garu Group receives only a license to use these components under the terms of the agreement and may not sublicense or transfer this license without written consent from Andromeda Corporation.
11.5.3. Any copying, decompilation, reverse engineering, modification, or other interference with the program code of “security systems” is strictly prohibited.

11.6. Term and Termination of the Agreement

11.6.1. The agreement becomes effective upon signing and remains in force indefinitely until terminated by either party.
11.6.2. Garu Group may not unilaterally terminate the agreement and demand the transfer of servers, source code, or user data to another provider.
11.6.3. Termination is possible only by mutual consent of the parties or in case of material breach of obligations (failure to pay, refusal to display “Protected by Andromeda” advertising, serious confidentiality breaches).
11.6.4. Upon termination, Andromeda Corporation reserves the right to block Garu Group’s access to its systems, including cybersecurity modules, without refund of any previously incurred costs.


12. Core System Provider Terms (Web Systems of Andromeda Corporation, WSOAC.COM)

12.1. Parties and Subject of the Agreement

12.1.1. Provider: Web Systems of Andromeda Corporation (WSOAC.COM).
12.1.2. Customer: Garu Group.
12.1.3. Subject: Development, maintenance, and support of software systems enabling the operation of the Site, mobile applications, and client products (Garu Admin, Garu Client for Windows, RDP Sessions, Internet Limitation System).

12.2. Licenses & Copyright

12.2.1. All source code, design, database structures, and APIs created by WSOAC.COM for Garu Group are the property of Andromeda Corporation.
12.2.2. Garu Group receives a non-exclusive license to use these components for its commercial activities and to ensure the operation of its Site/products.
12.2.3. The license is granted indefinitely, provided all contract terms (technical support, advertisement placement, timely payment) are met.

12.3. Payment Terms

12.3.1. Garu Group pays for development and maintenance services as follows:

  • Back-end/Front-end development and support (50% discount off market rates).

  • Hosting services for core servers (Back-end, databases, web servers) with a 50% discount.

  • Mobile applications (iOS/Android), Windows client software, RDP sessions, Internet limitation system.

12.3.2. All payments are made in United States Dollars (USD) or another currency by mutual agreement, within the timeframes specified in the issued invoices.

12.4. Provider’s Obligations

12.4.1. Design the system architecture: Back-end, Front-end, databases, APIs, mobile applications (iOS/Android), client software (Windows).
12.4.2. Integrate with payment systems (e.g., Stripe, PayPal, banking gateways) at Garu Group’s request.
12.4.3. Configure automated backups and disaster recovery (DRP) processes.
12.4.4. Provide 24/7 technical support and fix critical errors within 4 hours of receiving notification from Garu Group.
12.4.5. Ensure horizontal and vertical scalability (autoscaling) to accommodate increasing loads.
12.4.6. Implement “Garu Internet Control” functionality to limit or block undesirable Internet resources for Garu Group employees.
12.4.7. Provide installation packages and deployment instructions for client software (Garu Admin, Garu Client for Windows, and RDP configuration).

12.5. Customer’s Obligations

12.5.1. Provide timely technical specifications (TS), business requirements, and design mockups (if available) for feature development.
12.5.2. Pay for development, hosting, and maintenance services within the deadlines specified in invoices.
12.5.3. Facilitate coordination with internal departments (accounting, sales, marketing) when integrating with CRM, ERP, or other enterprise systems.
12.5.4. Display the WSOAC.com logo and “Powered by Web Systems of Andromeda Corporation” in the Site footer in the format provided by the Provider.

12.6. Warranties and Limitation of Liability

12.6.1. The Provider guarantees system operability only if the Customer complies with all technical requirements (adequate server capacity, network configuration, valid licenses).
12.6.2. The Provider is not liable for failures caused by improper system operation by the Customer (e.g., unauthorized modifications to code, databases, or configurations).
12.6.3. The Provider will supply patches and updates free of charge for 12 months from the date the project is placed into production; thereafter, support is provided under a separate agreement.


13. Additional Provisions

13.1. Force Majeure

13.1.1. Neither party shall be liable for full or partial non-performance of obligations under this Agreement if such non-performance results from force majeure events beyond reasonable control, including but not limited to:

  • Tornadoes, earthquakes, floods, and other natural disasters.

  • Fires, explosions, and technological accidents.

  • Wars, armed conflicts, terrorist acts, mass unrest.

  • Epidemics, pandemics, quarantine measures ordered by authorities.

  • Actions of government bodies restricting Site access or halting operations.

  • Large-scale cyberattacks (DDoS) and other incidents beyond the parties’ control.

13.1.2. The party affected by force majeure shall promptly (within 5 business days) notify the other party and provide official supporting documents (certificates, expert opinions, reports).

13.2. Confidentiality

13.2.1. The parties acknowledge that during the performance of this Agreement they may gain access to trade secrets and other confidential information of the other party (financial data, source code, technical specifications, customer and partner data, marketing plans, etc.).
13.2.2. The parties agree not to disclose or use confidential information for purposes not provided by the Agreement.
13.2.3. Confidentiality obligations remain in effect during the term of the Agreement and for 5 years following its termination.

13.3. Dispute Resolution

13.3.1. All disputes, disagreements, and claims arising out of or in connection with this Agreement shall be resolved through negotiations between authorized representatives of the parties.
13.3.2. If negotiations fail, any dispute shall be referred to the Arbitral Court of the Republic of Armenia, located in Yerevan. The laws of the Republic of Armenia shall apply.

13.4. Term and Termination

13.4.1. These Terms become effective upon a User’s first access to the Site and remain in force until replaced by a new version or terminated.
13.4.2. Garu Group reserves the right at any time to suspend or terminate a User’s access to the Site and services without explanation.
13.4.3. A User may cease using the Site at any time by discontinuing access to their Account.

13.5. Final Provisions

13.5.1. If any provision of these Terms is found to be invalid or unenforceable, this will not affect the validity of the remaining provisions. The parties shall replace any invalid provision with one whose economic intent is as close as possible.
13.5.2. All amendments and additions to these Terms are valid only if made in writing and signed by authorized representatives of both parties.

A. General Provisions

A.1. This Privacy Policy describes what personal data we collect, how we use it, with whom and under what conditions we may share it, and what rights data subjects have.
A.2. The Policy applies to all services of Andromeda Corporation: software development and maintenance, provision of cybersecurity solutions, consulting services, etc.
A.3. Terms used in this Policy correspond to those defined in Section 1 (“Definitions”) of the Terms for Garu Group, where Andromeda acts as the provider.

B. Data Collection and Categories

B.1. When interacting with clients (Garu Group and other legal/physical entities) and when using client software (“Garu Admin,” “Garu Client for Windows,” RDP sessions, etc.), we may collect:

  • Contact Data: Name, position, email, phone number.

  • Organization Data: Legal and physical address, tax identification number, registration documents.

  • Technical Information: IP addresses, device identifiers, OS versions, license numbers, log files (login/logout events, errors).

  • Security Data: Security logs (IDS/IPS events), vulnerability scan reports, intrusion attempts.

  • Cookies & Session Data: Information required for administration panels, remote monitoring, and software updates.

C. Purposes of Processing

C.1. Primary purposes include:

  • Providing and supporting cybersecurity solutions (monitoring, patch management, backups, encryption).

  • Developing, testing, and updating software products (Garu Admin, RDP client, Internet limitation system).

  • Conducting security audits, penetration testing, and vulnerability assessments.

  • Managing corporate client records, invoicing, and financial reporting.

  • Communicating with clients: security incident notifications, recommendations on improving protection.

C.2. Legal grounds for processing:

  • Contractual obligations (under agreements with Garu Group and other counterparties).

  • Consent of data subjects (for marketing communications, news updates).

  • Legitimate interests of the Company (ensuring system security, conducting audits, service improvement).

  • Legal obligations (e.g., retaining security logs for potential legal proceedings, cooperating with government authorities in cybercrime investigations).

D. Sharing Data with Third Parties

D.1. As part of service provision, we may share data with:

  • Hosting providers (for server and database hosting).

  • Cloud service providers (AWS, Azure, Google Cloud Platform), provided they comply with GDPR and ISO 27001 standards.

  • Government authorities upon legal request (law enforcement, courts, regulators).

  • Auditing and consulting firms (e.g., for ISO 27001 audits).

D.2. We sign confidentiality agreements and data transfer agreements (Standard Contractual Clauses) with every third-party recipient when data is transferred outside the Republic of Armenia or the EU.

E. Data Protection

E.1. We implement multi-layered security technologies:

  • Encryption at rest (AES-256) and in transit (TLS 1.2+).

  • Network segmentation, firewalls, intrusion detection/prevention systems (IDS/IPS).

  • Regular security audits, vulnerability scans, and penetration tests.

  • Multi-factor authentication (MFA) for access to administrative panels and servers.

E.2. Access to personal data is secured via role-based (RBAC) and attribute-based access controls (ABAC), granted only to authorized Andromeda employees.

F. Data Storage

F.1. Data is stored on servers located in Tier III+ data centers, ISO 27001 and SOC 2 Type II certified.
F.2. Security logs retention:

  • IDS/IPS event logs — 6 months.

  • System administration and remote access (RDP) logs — 12 months.

  • Change audit logs for software configurations — 12 months.

F.3. Client data (contact information, contracts, invoices) is stored for at least 5 years in accordance with accounting and tax regulations.

G. Data Subject Rights

G.1. Data subjects have the right to:

  • Request a copy of their personal data (Right of Access).

  • Correct inaccurate data (Right to Rectification).

  • Delete data (“Right to Be Forgotten”), if no legal basis for further processing exists.

  • Restrict processing of their data (Right to Restrict Processing).

  • Receive their data in a machine-readable format (Data Portability).

  • Object to processing based on legitimate interests (Right to Object).

  • Withdraw consent for processing where processing is based on consent.
